A defunct solvent company may apply for deregistration when certain conditions fulfilled,
- all the members of the company agree to the deregistration;
- the company has not commenced operation or business, or has not been in operation or carried on business during the 3 months immediately before the application;
- the company has no outstanding liabilities;
- the company is not a party to any legal proceedings;
- the company’s assets do not consist of any immovable property situate in Hong Kong;
- if the company is a holding company, none of its subsidiary's assets consist of any immovable property situate in Hong Kong; and
- the company has obtained a "Notice of No Objection to a Company being Deregistered" ("Notice of No Objection") from the Commissioner of Inland Revenue.
HOW IT WORKS?
1. Documents will be prepared and email for your signatures
2. Once received a signed copy in Original from you, we will submit to the Inland Reveune Department for a Notice of No Objection ("NNO").
3. Send you the receipt confirmation
4. The NNO will be issued around 1 month if all tax matters are clear. Any outstanding Tax Return filing (including preparation of annual accounts and audit), Tax and Penalty are not included in this service
5. Once the NNO is available, we will send the application to the Companies Registry for deregistration
6. It takes around 3 to 4 months for the Companies Registry to dergister the company
7. Once the company is deregistered we will email you the Notice from Companies Registry for your record
8. You are still required to follow the annual compliances, like having a Company Secretary, filing Annual Return and renewing the Business Registration on time until the deregistration completed. (not included in this service)
